Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Pardeep Jha & Associates, Chartered Accountants, a firm registered under the Chartered Accountants Act, 1949, having its office at A1, B17, Kharar, opp. Anaj Mandi, Chaudhary Hari Singh Nagar, Sector 115, Kharar, Punjab 140301 ("Company", "we", "us"), governing your access to and use of the website raisebill.com and the RaiseBill application (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Definitions
- "Service" means the RaiseBill web application at raisebill.com, including the free invoice tool, GST calculator, HSN code lookup, and all Pro features.
- "Free Tier" means access to the invoice generator, GST calculator, and HSN code lookup without creating an account. Data is stored in the User's browser (localStorage) only.
- "Pro Plan" means the paid subscription that provides cloud invoice storage, client management, GSTR-1 export, company profile, continuous invoice numbering, and white-label branding options.
- "Subscription Period" means the duration for which a Pro Plan is active — either 30 days (monthly) or 365 days (annual) from the date of payment.
2. Eligibility
You must be at least 18 years of age and competent to enter into a binding contract under the Indian Contract Act, 1872. By using the Service, you represent that you meet these requirements. If you are using the Service on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.
3. Account Registration
The Free Tier does not require account registration. To access Pro features, you must sign in using Google OAuth. You are responsible for maintaining the security of your Google account credentials. You must not share your account access with others. You agree to notify us immediately of any unauthorized use of your account.
4. Service Description
4.1 Free Tier
The Free Tier provides a fully functional GST invoice generator that runs entirely in your browser. Your business data (name, GSTIN, bank details, line items) is stored in your browser's localStorage and is never transmitted to our servers. We do not collect, process, or have access to the invoices you create using the Free Tier.
4.2 Pro Plan
The Pro Plan provides additional features including cloud-based invoice storage, client management, GSTR-1 Excel export, company profile auto-fill, sequential invoice numbering, outstanding reports, and the option to remove RaiseBill branding from invoices. Pro data is stored securely in our cloud database (hosted on AWS infrastructure via Supabase). Access to Pro features requires an active, paid subscription.
5. Pricing, Payments, and Taxes
5.1 Pricing
Pro Plan pricing is displayed on the pricing page. Prices are denominated in Indian Rupees (INR) and are inclusive of applicable GST (18% on SaaS services under SAC 998314). We reserve the right to change pricing with 30 days' advance notice posted on the website. Price changes do not affect active Subscription Periods already paid for.
5.2 Payment
Payments are processed through Razorpay Payment Gateway. By making a payment, you also agree to Razorpay's Terms of Service. We accept UPI, debit cards, credit cards, net banking, and wallets as supported by Razorpay.
5.3 No Auto-Renewal
RaiseBill does not auto-renew subscriptions. When your Subscription Period ends, your Pro access expires. You will not be charged again unless you manually initiate a new payment. You retain read-only access to your saved invoices after expiry, but cannot create new cloud-saved invoices or use Pro features until you renew.
5.4 GST Invoice for Purchase
A GST-compliant tax invoice for your Pro Plan purchase will be made available in your Subscription settings page after successful payment.
6. Refund and Cancellation Policy
Our complete refund and cancellation policy is available at raisebill.com/refund-policy. By purchasing a Pro Plan, you agree to the terms stated therein.
7. User Responsibilities
You agree to:
- Use the Service only for lawful purposes and in compliance with all applicable Indian laws, including the GST Act, 2017.
- Ensure that invoice data you enter (GSTINs, HSN/SAC codes, tax rates, amounts) is accurate. RaiseBill is a tool that assists in invoice generation — you are solely responsible for the correctness of invoices you create.
- Not use the Service to generate fraudulent, misleading, or illegal invoices.
- Not attempt to reverse-engineer, decompile, or exploit the Service beyond its intended use.
- Not use automated scripts, bots, or scrapers to access the Service.
- Not attempt to gain unauthorized access to other users' data or our infrastructure.
8. Intellectual Property
The Service, including its design, code, logos, and content, is owned by Pardeep Jha & Associates and is protected under the Copyright Act, 1957, and other applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose. Invoices you generate using the Service are your property. We claim no ownership over your invoice data or business information.
9. Data and Privacy
Our collection, use, and protection of your personal data is governed by our Privacy Policy. By using the Service, you consent to the practices described therein.
10. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law:
- We do not warrant that the Service will be uninterrupted, error-free, or free of vulnerabilities.
- We do not provide legal, tax, or accounting advice. The Service is a tool for invoice generation — it does not replace professional advice from a qualified Chartered Accountant or tax consultant.
- Tax calculations (CGST, SGST, IGST) are based on the data you input. We are not responsible for incorrect tax computation resulting from incorrect input data (wrong state codes, HSN codes, or tax rates).
- The GSTR-1 export feature generates Excel files in the format prescribed by GSTN. We do not guarantee that the GST portal will accept the file without modification, as GSTN may update their format.
11. Limitation of Liability
To the maximum extent permitted under the Consumer Protection Act, 2019, and other applicable Indian law:
- Our total liability for any claims arising out of or related to these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, even if advised of the possibility of such damages.
- We shall not be liable for any loss arising from the use of invoices generated through the Service in GST proceedings, audits, or assessments.
12. Indemnification
You agree to indemnify and hold harmless Pardeep Jha & Associates, its partners, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights.
13. Termination
- By you: You may stop using the Service at any time. If you have a Pro Plan, you may choose not to renew at the end of your Subscription Period.
- By us: We may suspend or terminate your access if you violate these Terms, engage in fraudulent activity, or if required by law. In case of termination for cause, no refund will be provided for the remaining Subscription Period.
- Effect of termination: Upon termination, your access to Pro features will cease. Your data may be retained for 90 days to allow you to export it, after which it may be deleted in accordance with our Privacy Policy.
14. Modifications to Terms
We may update these Terms from time to time. Material changes will be communicated via email (for registered users) or a prominent notice on the website at least 15 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Chandigarh, India. Before initiating any legal proceedings, you agree to attempt resolution by contacting us at info@raisebill.com.
16. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
17. Entire Agreement
These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and us regarding the use of the Service.
